Commercial Terms for Trade Buyers
These Terms & Conditions establish the governing framework for the commercial relationship between DisposableDistributor.in (the seller) and trade buyers (the purchaser), providing the foundation for all business transactions unless expressly superseded by alternate written agreements executed by authorized representatives of both parties. By placing an order with DisposableDistributor.in, buyers explicitly confirm their acceptance and agreement to abide by these comprehensive terms.

1. Ordering and Minimum Order Quantity (MOQ)
All orders must comply with the applicable Minimum Order Quantity for the selected product category and specific SKUs, which are clearly detailed in product documentation, formal quotations, and our online catalogue where applicable. MOQ requirements vary based on factors including product complexity, material sourcing, production batch economics, and whether items are from existing inventory or require dedicated production runs. Orders that fail to meet the specified MOQ may be declined or, at our discretion, may be accepted subject to additional handling charges or price adjustments. Customized MOQ arrangements can be negotiated for ongoing supply relationships through documented written agreements signed by authorized representatives of both organizations.

2. Pricing, Quotations, and Payment
All prices are stated in formal written quotations and are exclusive of applicable taxes, duties, and freight charges unless explicitly noted otherwise. Quotation price validity periods are clearly specified in each quotation document, typically ranging from 7 to 30 days depending on market conditions and product categories. New buyers and first-time transactions typically require full advance payment or a substantial deposit, often ranging from 50% to 100% of order value, to initiate production scheduling or inventory allocation. Established buyers who have demonstrated consistent payment reliability may be extended credit facilities following comprehensive verification processes. Accepted payment instruments include direct bank transfers, demand drafts drawn on recognized banking institutions, and for qualified buyers with approved credit terms, other structured payment arrangements.

3. Delivery, Dispatch, and Risk Transfer
Goods are dispatched within mutually agreed lead times that accommodate both our stock availability and production schedules, as well as the buyer's inventory planning requirements. These timelines are confirmed in writing at the time of order acceptance and are subject to force majeure conditions including but not limited to natural disasters, labor disputes, transportation disruptions, or government restrictions. Unless specifically agreed otherwise, risk of loss or damage to goods transfers from DisposableDistributor.in to the buyer at the moment goods are handed over to the designated carrier for dispatch. For international shipments, buyers assume full responsibility for import duties, local taxes, customs clearance procedures, and compliance with destination country regulations.

4. Inspection, Claims, and Returns
Buyers have an obligation to thoroughly inspect all received goods upon delivery and must report any claims related to damage during transit, quantity shortages, quality non-conformity to specifications, or other material discrepancies within seven calendar days from the delivery date. All claims must be substantiated with appropriate supporting evidence including high-resolution photographs clearly showing the specific issues, complete batch identification details from product labels and packaging, and detailed written descriptions of the nature and extent of problems encountered. Following receipt of a properly documented claim, DisposableDistributor.in conducts a thorough verification process and proposes appropriate remediation which may include replacement, credit adjustment, or full refund with product return.

5. Customisation and Private Label Terms
Customisation orders — including private labelling, bespoke design development, custom plating specifications, and non-standard packaging — are governed by a separate Customisation Agreement executed before production commences. Customisation orders require a higher minimum quantity, a non-refundable design development deposit, and extended lead times. Once production begins on a custom order, cancellation is not permitted without forfeiture of the paid deposit. We maintain strict confidentiality for all private-label and custom-design clients and do not share or cross-market their designs to competing buyers.

6. Limitation of Liability
DisposableDistributor.in's total liability for any claims arising from product defects, supply issues, or other matters related to our commercial relationship is strictly limited to the invoice value of the specific affected goods that are the subject of the claim. Under no circumstances shall DisposableDistributor.in be liable for indirect, consequential, incidental, or punitive damages including but not limited to lost profits, business interruption, loss of goodwill, or third-party claims, unless such liability is explicitly mandated by applicable statutory law. Buyers agree to indemnify and hold harmless DisposableDistributor.in against any claims, damages, or losses arising from the buyer's misuse of products, improper storage or handling, unauthorized modifications, or any violation of applicable laws or regulations in the buyer's jurisdiction.

7. Governing Law and Dispute Resolution
These terms and conditions, along with all transactions conducted under them, are governed exclusively by the laws of India, without regard to conflict of law principles. Any disputes, controversies, or claims arising out of or relating to these terms or any transaction shall be subject to the exclusive jurisdiction of the courts located in Delhi, India. Notwithstanding the foregoing, both parties are strongly encouraged to pursue amicable resolution of disputes through good-faith negotiation and, if necessary, professional mediation before initiating formal legal proceedings.
